Introduction
If you are a Resource using the ReProxy platform, these terms and conditions apply to you. By registering and using our services, you agree to comply with these terms.
1. Definitions
- ‘ReProxy’: The online marketplace for support staff provided via the ReProxy platform.
- ‘Resource(s)’: Individuals working on a self-employed basis, delivering support services via the ReProxy platform.
- ‘Client(s)’: Individuals using the marketplace service to search for support staff, engage with Resources, and enter contractual relationships with Resources or via ReProxy.
- ‘Receiver(s)’: The person or group benefiting from the support. They may also be the Client.
2. About ReProxy
2.1 Services Provided
ReProxy offers staffing services and an online platform that connects self-employed Resources with Clients. Our platform includes tools such as:
- A database of self-employed Resources, filtered by skill, location, and availability.
- An online payment system enabling transactions between Resources and Clients.
- A standard contract that becomes effective upon agreement, covering the service arranged between Resource and Client.
- Communication, support planning, scheduling, monitoring, and feedback tools.
2.2 Classification as an Agency
ReProxy functions as both an ‘introductory agency’ and a ‘staffing company,’ in accordance with applicable policies.
2.3 Limitations of Service
All tools provided by ReProxy are used at the Client’s and Resource’s own risk. ReProxy offers no guarantee over the functioning of these tools and reserves the right to withdraw or modify them at any time. ReProxy disclaims liability for any losses, damages, or disputes arising from the use of its platform, tools, or services provided by Resources.
3. General Terms of Service
3.1 Eligibility and Warranties
By registering and using the service, you confirm that:
- All information you provide is accurate and up-to-date.
- You accept and will abide by our terms of service and any contract you enter through ReProxy.
- You have the legal capacity to enter into binding contracts under UK law and are over 18 years old.
- You are legally eligible to work in the UK.
- You will operate on a self-employed basis, fulfilling all related responsibilities, including tax and National Insurance contributions to HMRC.
3.2 Account Creation
Resources must create a personal account on the ReProxy platform. Each Resource is permitted only one account, which must be maintained with accurate and secure information. ReProxy reserves the right to amend terms and conditions at any time and to undertake due diligence on all accounts.
3.3 Profile Content
Resources are responsible for the content they upload to the ReProxy platform. Content must not be defamatory, offensive, inaccurate, or misleading. ReProxy reserves the right to remove any content that does not meet these standards and may edit content to ensure accuracy and positive user experience.
3.4 Compliance with Contract
Once a Resource accepts a contract, they are bound to deliver its terms. Any deviations must be negotiated directly with the Client. ReProxy offers no mediation in these matters unless specifically requested.
3.5 Quality of Service
As a Resource, you agree to provide professional, punctual, safe, compassionate, and diligent service. You must not accept contracts beyond your competence level and must act with honesty and integrity. Any changes to contract terms must be communicated to the Client in writing.
3.6 Compliance with Statutory Regulations
Resources must comply with all relevant UK legislation, including the Safeguarding Vulnerable Groups Act 2006 and the Protection of Vulnerable Groups (Scotland) Act 2007. Resources must not have any history of criminal offences related to violence, abuse, neglect, or dishonesty, nor be listed on any sex offender registry.
4. Release of Liability for User Conduct and Disputes
ReProxy is not a party to agreements between Clients and Resources and cannot mediate disputes unless directly approached. ReProxy disclaims liability for any claims arising from these disputes but offers resolution services if issues are raised within 10 working days.
5. Payments and Cancellations
5.1 Payments
All payments for work completed must be made through ReProxy. Attempts to pay outside of the platform may result in account suspension. ReProxy ensures secure handling of credit and debit card information in compliance with PCI standards.
5.2 Rates and Fees
Resources are responsible for setting their hourly rates. Rates should not change during a contract unless agreed upon with the Client, requiring the termination of the current contract and initiation of a new one. ReProxy charges a service fee inclusive of VAT, deducted from the hourly rate.
5.3 Income Tax and National Insurance
As a self-employed Resource, you are responsible for all legal and tax filings with HMRC, including National Insurance contributions and income tax payments.
5.4 Cancellations and Absences
ReProxy understands that cancellations are sometimes unavoidable but should be communicated to the Client and ReProxy as soon as possible. Unexcused absences may result in withheld payments and impact your platform rating.
5.5 Unaccepted Visits
Resources must confirm their attendance by accepting scheduled visits. Unaccepted visits are prohibited, and attending them may lead to removal from the platform.
6. Limitation of Liability
6.1 Contract Acceptance
The decision to accept a contract is solely yours. ReProxy makes no warranty regarding the suitability of any assignment or the character of Clients or Receivers. You are encouraged to report any concerns about Client behavior to ReProxy for appropriate action.
6.2 Risks of Introductory Service
By participating in an introductory service, you acknowledge the inherent risks and waive any claims for damages against ReProxy related to the service.
6.3 Breach of Terms and Conditions
You agree to indemnify ReProxy against any claims or demands arising from your breach of these terms. Taking a Client off-platform will result in a £1,500 fine and pursuit of any related costs.
7. Contractual Obligations
You agree to use ReProxy for all current and future work resulting from an introduction made through the platform. Circumventing ReProxy to avoid fees is prohibited and may incur fines.
8. Taking Clients Off-Platform
Clients may only be taken off-platform with ReProxy’s explicit consent and subject to a fee. Failing to notify ReProxy may result in a £2,000 fine and account termination.
9. Termination of Profile
ReProxy reserves the right to terminate your profile for failing to meet service standards, breach of terms, or frequent job rejections. This decision is at ReProxy’s sole discretion.
10. Quality Assurance and Background Checks
ReProxy may conduct background checks at any time and reserves the right to use third parties for these checks. Resources must comply with these checks to remain active on the platform.
11. Feedback, Marketing, and Customer Reviews
Client feedback contributes to your profile rating. Incentives for positive feedback are prohibited, and attempts to manipulate reviews may lead to profile termination. Your profile information may be used in ReProxy’s marketing materials unless you opt out by contacting Hello@ReProxy.co.uk.
12. Staff Support Miles Programme
Staff Support Miles reduce ReProxy’s commission fees but have no external value and can be altered or withdrawn at ReProxy’s discretion.
13. Privacy Statement
By using ReProxy’s services, you consent to the processing of your personal data in accordance with ReProxy’s Privacy Policy.
14. Confidentiality
You must keep all Client information strictly confidential, including personal and medical details, unless it is public knowledge.
15. Governing Law
These terms are governed by the laws of England and Wales, with disputes subject to the exclusive jurisdiction of its courts.
